The key trick is in choosing your market slice. You must choose a slice of the market where people want to keep memories alive in print. It must also be an event that is hard to capture for a not professional so that they will need your services.

One idea is to go to kids sports events. Get permission from the coach to click pics for the parents watching and then start clicking away. If you turn up with a great big telephoto lens like the ones used for pro coverage of events, you will be taken seriously. Make sure you get all the children doing great action shots and then hand out flyers to all the kids' parents watching with your web address. If you can get hold of the parents email address so you can email them the URL of you site then upload the pics to your web site that day and email everyone. You can do a similar thing with weddings. I have been reading and hearing allot lately about people who are saying that loud Motorcycle Pipes are a major problem in the world. These groups are trying to get those in Government to pass all sorts of new inspection laws for Motorcycle Pipes.

Seeing as Motorcycles make up such a small percentage of the Traffic on the road I would say this problem is very minimal at best. ( I wonder how many cars with bad mufflers are heard that many think are Motorcycles)

These people complain saying Motorcycle Riders like loud pipes because they are juvenile and want to show off and say Hey look at me and draw attention to themselves.

The reason many Bikers like loud pipes is not to say look at me, its to say look out for Me! Many Car drivers these days are talking on the phone, texting , putting on make up , eating , playing loud music , watching DVDs and just not paying attention to the road in front of them. If your in a car an you get hit ,You may get a dent in your car, We could Die! (Nothing enjoyable in life is completely safe)

These groups against loud pipes know gathering citizens together to complain is very easy , if they ask people while they are sitting around all summer long bored "Have you ever heard a Loud Motorcycle Go By?" they are going to say yes they Have!" These groups are then going to talk about how annoying these Motorcycles are and convince these bored people how much better their lives would be if these Motorcycles where gone! These bored people are going to jump right on board!

But now ask these same people when was the last time you heard a loud Motorcycle go by? They will probably hard pressed to find an answer! Was it Weeks ago? Months ago? was it Two years ago?

There are already laws on the books in every state that say a Motorcycles pipes can only be so loud! We do not need new laws on the books that most officers will do nothing about while others will abuse !

This Country spends too much time whining about things! Lets stop and think about Motorcycles. Motorcycles prevent traffic, They prevent wear and tear on the roads, They are great for saving Fuel. They are also a great relaxer, Those who Ride Motorcycles are a lot less stressed!

If people stopped complaining about Motorcycles and went and rode a Motorcycle they might not be so bored with their lives and they would have something better to do with their time!!!

I met Jay in June 1977 when he came to our home to meet my husband, a well known certified hypnotherapist. Jay was hoping to be able to study under him. He was able to forgive himself for wearing out his mother at birth with his size and weight. He forgave his mother for being unconcient at his birth and missing his first two weeks of life on Earth. What an experience it was for him. Feeling the forgive-ness made Jay feel lighter.

The next part of the class was the chanting and rocking session. Jay was still feeling that lightness as the group of six in his team began elevating and rocking him to music and chants. One at a time, the team was lifting each person up and then rocking the fully elevated person before slowly returning them to the ground.

Back then Jay weighed 280 pounds and there they were, trying to get him up in the air. He felt as light as a feather, totally relaxed as he was rocked back and forth. During the session the window was open and suddenly a strange cool-damp breeze came through into the room, exactly where they were rocking Jay. A bolt of what appeared to be lightning hit Jay at the top of his head. The group pulled their hands away and he floated back down to the ground.

Jay slowly opened his eyes and touched the top of his head. It felt warm. As he sat up, he was surprised to see me standing over him, looking at him. He remembered what I had said to him when we first met, And someone you know will be there to observe. Jay closed his eyes and his head was filled with ideas and formulas and concepts and the words just know that you know.

From that moment, he knew the past, present and the future. He foresaw floods, tornados, the economic crisis of 2007- on ... he was scared, but understood. He knew about others just by looking at their faces, their eyes or from their handwriting. And there is so much more that he knew he would come know.

When raising money, usually investors will demand their equity distribution in an SEC approved format like a Private Placement Memorandum, also known as a PPM or offering memorandum. This structure makes use of one of the three Regulation D exemptions stemming from the Securities Act of'33.

The three powerful exemptions are Regulation D Rule 504, Rule 505 and Rule 506. These rules carry different criteria that help businesses raise equity funding without all the stringent legalities of an IPO. These rules are defined like this: Rule 506 provides an exemption for limited offers and sales without regard to the dollar amount of the offering.

This popular exemption does not limit the number of accredited investors, but the number of non-accredited investors may not exceed thirty-five investors. (An accredited investor is any one investor with a certain net worth and or experience in the purchase of stocks.) All non-accredited purchasers, either alone or together with a designated representative must be sophisticated enough (i.e., have the knowledge and experience necessary) to evaluate the merits and risks of the investment. (The offering corporation will determine the sophistication of its investors with a questionnaire subscription agreement.)

Rule 506 requires very detailed disclosure of all relevant information to potential investors; the extent of disclosure depends on the dollar size of the offering. Rule 505 offerings may not exceed $5 million, less the total dollar amount of securities sold during the preceding 12 month period under Rule 504, Rule 505 or Section 3 of the act. This exemption limits the number of non-accredited investors to 35 but has no investor sophistication standards. Rule 505 requires disclosure similar to that required for Rule 506 offerings, under $7.5 million.

Rule 504 offerings allow a business to raise a maximum of $1 million, less the total dollar amount of securities sold during the preceding 12 month period, under Rule 504, Rule 505 or Section 3 of the act. However, a business can raise only $500,000 by the sale of securities to persons residing in the states of Montana and Alaska, which have no disclosure laws applicable to the offering. For the states that do have disclosure laws, which are 48 out of the 50 states, a business can raise up to $1,000,000. Rule 504 has no prescribed disclosure requirements, no limit on the number of purchasers, and no investor sophistication standards. So if you're trying to raise capital using a PPM, use the above criteria as a cliff note and as long as you stay within SEC guidelines, raising capital can be easy.

Entrepreneurs are being turned onto Regulation D in droves. Regulation D Rule 504, 505 and 506 allow companies a more lenient fund raising process than those who choose to go public by other means. In the past year I've seen more PPM consultants pop up on the internet than ever before and I have to admit I'm concerned. As a veteran in this field I've seen it all, now we have a legion of self proclaimed Reg. D gurus who buy templates, add some text and tell their clients that they are delivering a customized offering memorandum; here's where things go bad and a difficult situation gets even worse. You need to gain the confidence and capital of accredited investors without soliciting as dictated in Regulation D Rule 502c. Now you have a worthless document that you can't solicit investment capital for (which your guru consultant never told you but took your cash anyway) so how are you suppose to raise funds for your company? First, you'll find that you'll eventually need to make your way to an actual PPM author, not a broker so that you can get a PPM that protects you from lawsuits and gives the investor a real breakdown of the upside and downside of your business.

Next you'll need to find a "Investor Finder", yes this is an actual term for an individual or corporate entity that is completely submerged in the accredited investor realm and is able to match your opportunity with friends that he/she has in their database of real, accredited investors. This is the second half of the PPM equation.

Don't kid yourself and don't allow yourself to be lied to; you're going to need a seasoned professional to help introduce you to investors that have the capital to help you get to where you need to be. Friends, family and employees will commit to investing in your company until your PPM is completed and it's time to make good on their commitment; all of a sudden little Johnny needs braces and Sally is in the hospital with pneumonia, this happens all the time. Now what? With a real Private Placement Memorandum and a solid Investor Finder you're problems are basically over. Investigate where the author and I.F. stand in the Internet public domain and after you find a company that meets your needs, get moving and start raising capital.
